Terms and Conditions

1. The Agreement

  • These Terms and Conditions (hereinafter referred to as the “Agreement”) govern your use of investment banking and capital market services provided by First Addis Investment Bank (FAB).
  • By accessing or using FAB’s services- including through digital platforms, in-person consultations, or thirdparty partner channels- you agree to comply with and be bound by this Agreement.
  • FAB reserves the right to amend these Terms at any time without prior notice. Continued use of FAB services constitutes your acceptance of the amended Terms.
  • You represent that you are legally eligible and authorized to engage in financial and investment transactions under applicable Ethiopian laws and regulations.

2. Definitions ​

  • “FAB” – Refers to First Addis Investment Bank S.C., in the process of obtaining a license by the Ethiopian Capital Market Authority.
  • “Client”/ “You” – Any individual, institutional investor, or corporate entity, government using FAB’s services.
  • “Services” – Includes investment advisory, capital raising, mergers & acquisitions advisory, underwriting, securities trading, portfolio management, and other licensed investment banking activities.
  • “Site” – FAB’s digital platforms, including the official website and any online portals used to access its services.
  • “Securities” – Shares, bonds, debentures, or other financial instruments regulated under Ethiopian Capital Markets Authority.
  • “Account” – Any investment account, brokerage account, or related service account opened with FAB by the Client. 3

3. Acceptance of Terms

  • Accessing or using FAB services, whether online or in-person, signifies your acceptance of this Agreement.
  • If you do not agree with these Terms, you must immediately discontinue use of FAB services and/or close any existing account(s).
  • Certain services may require additional agreements or disclosures. These shall be provided prior to engagement and shall supplement these Terms.

4. Client Obligations

  • You agree to provide accurate, complete, and updated information during the onboarding process, including KYC (Know Your Customer) documents.
  • You are responsible for maintaining the confidentiality of your account credentials, passwords, or digital authentication methods.
  • You agree not to use FAB’s services for any unlawful, speculative, or unauthorized purposes, including market manipulation or money laundering.
  • You are responsible for all activity conducted under your account unless proven otherwise.

5. Risk Disclosure

  • You acknowledge and accept that all investments carry risk, including possible loss of principal.
  • FAB does not guarantee the performance of any security, transaction, or portfolio.
  • Past performance is not indicative of future results. FAB shall not be liable for losses incurred as a result of investment decisions made by you or upon FAB’s non-discretionary advice.

6. Data Protection and Privacy

  • FAB shall collect and process your personal and financial data in accordance with the Ethiopian Data Protection Proclamation No. 1321/2024.
  • You consent to FAB sharing your data with:
    • Regulatory authorities like ECMA
    • Third-party service providers for compliance and transaction facilitation,
    • Auditors or law enforcement as required by law.

7. Fees and Charges

  • FAB shall disclose all applicable fees, commissions, and charges for services prior to execution
  • You agree to pay all applicable fees as stipulated in the relevant agreements or schedules.

8. Third-Party Services and Platforms

  • FAB may offer access to third-party systems, such as trading platforms, custodians, and information providers.
  • FAB is not liable for third-party system failures or inaccuracies but will take reasonable steps to ensure reliability.

8. Third-Party Services and Platforms

  • Either party may terminate the service with written notice, subject to the settlement of outstanding obligations.
  • FAB reserves the right to suspend or terminate access to services if:
    • Fraud or misconduct is suspected,
    • Legal or regulatory violations occur,
    • Required disclosures are not provided.

10. Intellectual Property

  • All content, tools, research, and systems used or shared by FAB remain the intellectual property of FAB or its licensors. Unauthorized reproduction or distribution is prohibited.

11. Limitation of Liability

FAB shall not be liable for:

  • Losses arising from market volatility or investment decisions,
  • Technical issues, cyberattacks, or outages beyond FAB’s control,
  • Any indirect, incidental, or consequential damages.

12. Governing Law and Jurisdiction

  • This Agreement shall be governed by the laws of the Federal Democratic Republic of Ethiopia. Disputes shall be settled amicably, by ECMA or through competent Ethiopian courts.

13. Entire Agreement

  • These Terms constitute the entire agreement between you and FAB concerning investment banking services and supersede all prior understandings unless otherwise documented in writing.
